- These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with http://www.snaphunt.com website (the "Service") operated by Snaphunt Pte Ltd of 1 Raffles Place #27-03, One Raffles Place 048616 Singapore (Unique Entity Number 201705391Z) (‘Snaphunt’, "us", "we", or "our")
- Please read these Terms and Conditions carefully before using the Service.
- Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
- By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
By submitting such information, you grant us the right to provide the information to third parties for purposes of facilitating the completion of Purchases.
We reserve the right to refuse or cancel your order at any time for certain reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorised or illegal transaction is suspected.
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a quarterly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting Snaphunt customer support team.
A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide Snaphunt with accurate and complete billing information including full name, address, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Snaphunt to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, Snaphunt will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
Paid Subscription fees are non-refundable.
Pay per hire fees is calculated as a percentage of the Candidate's Remuneration and is payable on the start date of the Candidate. All fees are strictly payable within seven days of the invoice date. Your failure to pay invoices within the payment terms hereunder entitles us to charge interest at 0.6% per day.
The Service Fee will be invoiced and payable in SGD. Where the Remuneration is expressed or paid in a different currency other than SGD, the Service Fee will be based on the SGD equivalent calculated according to the rate published by https://secure.mas.gov.sg/msb/ExchangeRates.aspx on the invoice date (or the previous working day before the invoice date if no such middle rate is published on the invoice date).
All fees and expenses hereunder shall be paid by you to Snaphunt in full without deduction of any applicable withholding tax, transaction tax or any other charge, which when applicable shall be borne by you.
Remuneration means the gross first year annual compensation including all salary, bonus, profit share, commission, on target earnings, allowance, sign on payment, employee stock ownership and other financial benefits paid during or attributable to the first year of the Candidate's Engagement with you ("Remuneration"). A company car / transport allowance will be assessed at the actual amount of the benefit or, if no evidences of amount are available, SGD 24,000/year. An accommodation allowance will be assessed at the actual amount of the benefit or, if no evidences of amount are available, SGD 48,000/year. A relocation allowance will be assessed at the actual amount of the benefit or, if no evidences of amount are available, SGD 5,000. Employee stock ownership will be assessed at its market value on the invoice date. The equivalent cash value of any commercial insurance, education, travel and other non-cash financial benefits offered to the Candidate and the Candidate's family by you shall be included.
Where any element of the Remuneration is net amount, i.e. after deductions, such net amount will be grossed up in calculating the Remuneration to reflect the value prior to Tax and other deductions based on the then-current individual income tax.
The Remuneration shall be the total remuneration as listed in the offer letter, employment contract and other written documents between the Candidate and yourself. The higher amount shall be included if there are conflicting records regarding any element of the Remuneration. You shall provide Snaphunt a copy of the offer of employment (specifying the start date for such Candidate's employment) and the details of the Remuneration within 3 working days of the Candidate's acceptance of your offer.
Where no set Remuneration has been agreed or is not readily ascertainable regarding the Engagement, the Service Fee shall be the higher of (a) SGD 10,000 or (b) the estimated Service Fee (the fee rate agreed * 1.2 * the Candidate's Remuneration before the Engagement).
If you engage a Candidate on a temporary, contract, consultancy or freelance basis, the Service Fee payable shall be the higher of (a) SGD 6,000 or (b) 50% of the full-Service Fee for permanent employment.
You shall pay Snaphunt the Service Fee hereunder for Engagement of any Candidate for any position by either yourself or a third party that you pass the Introduction to within 6 months of the initial Introduction by Snaphunt.
Where you know of any Candidate through your direct contact or a third party before Snaphunt's Introduction, you shall notify Snaphunt of such previous knowledge in writing within 3 working days of the Introduction, failing which you shall pay Snaphunt the Service Fee for Engagement of the Candidate along with reasonable evidence of such previous knowledge.
In the event that you engage more than one Candidate for a position, you shall pay the full Service Fee to us for each Candidate introduced by Snaphunt.
If the Engagement of any Candidate terminates within one month of commencement of Engagement, we will provide you with a subscription plan effective from the date of termination of the engagement for a period of ((Service fee for engagement of such candidate/SGD 5,988) *12) months but not exceeding 12 months provided that the conditions below are met:
Snaphunt will endeavour to ensure the suitability of a Candidate and to maintain a high standard of service and integrity but gives no warranty as to such suitability. You will take such steps, as may be necessary to satisfy yourself of the suitability of the Candidate and you will be responsible for taking up any background checks (including the confirmation of any professional or academic qualifications) and for arranging all medical examinations and investigations of the Candidate and for obtaining any work or other permits. We cannot accept responsibility for any loss or expenses incurred due to employment legislation or as a result of any infringement.
Once a Candidate is placed as an employee with you, you are the Candidate's employer and have sole responsibility for the employee. We have no liability or obligations in respect of your employee, including, without limitation, in respect of the termination of employment of the employee for any reason by you.
We are not liable to you for any loss, liability, damages, costs, claims or expenses suffered or incurred by you as a result of the negligence, dishonesty, misconduct or lack of skill of any Candidate or arising from, or connected with, the Introduction by Snaphunt of any Candidate (or delay in any such Introduction), the failure of a Candidate to accept an offer of employment, the Engagement of a Candidate or the failure to introduce a suitable Candidate.
Should we incur any costs in recovering amounts overdue hereunder, the costs may be charged to you in addition to the underlying value of the invoices due. This includes but is not limited to interest charged, legal fees incurred and any third-party debt recovery fees.
In no event shall Snaphunt, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
